La SNC est une société de personnes, elle est en général une entreprise familiale. Le nombre minimum d’associés est de deux (2) et il n’y a pas de minimum de capital social exigé, ce dernier est divisé en parts sociales. L’immatriculation au registre du commerce confère à l’entreprise la personnalité morale et à tous les associés la qualité de commerçants et tous les associés répondent indéfiniment et solidairement des dettes de la société. La gérance appartient à tous les associés, sauf stipulation contraire des statuts (Art. 551 et suite du Code du commerce).

Company statutes

  • Birth certificates of managers and partners for any natural person, for the associated legal person, a copy of the identity document of the person authorized to act on behalf of the legal person is required.
  • the statutes of the legal partner (in the case of a foreign legal person, the minutes of the general meeting of the parent company are required).
  • The lease of the headquarters in the name of the company (Domiciliation for first-time investors).
  • The name of the company (Certificate).
  • The capital amount:
    • Algerian part: The amount of the company’s capital must be deposited either with the notary (cheque) or in cash at the level of the treasury.
    • Foreign party: The amount of the company’s capital must be repatriated to a suspense account opened in the name of the company under construction (creation) with a local bank.

NB : The documents presented by the foreign party must be legalized and certified by the Algerian consulate or embassy.

Company headquarters rental agreement:

  • Deed of ownership of the premises.
  • Birth certificate of the owner of the premises.
  • Local natural disaster insurance.

What you need to provide ?

  • Signed application, based on forms provided by the CNRC.
  • The proof of the premises suitable for receiving a commercial activity established in the name of the company by presenting either: a title deed or a rental lease, A concession of a land base to house the commercial activity or any act or assignment decision issued by a public body.
  • A copy (01) of the articles of association establishing the company.
  • Copy of the insertion of the articles of association of the company in the BOAL.
  • Receipt justifying the payment of stamp duties provided for by the legislation in force (4,000 DA).
  • Receipt for payment of registration fees in the commercial register as set by the regulations in force, payable at a bank branch (BNA).

  • Department concerned: Department responsible for the declaration of existence.

  • C20 certificate. (Optional).

What you need to provide ?

  • A copy of the commercial register.
  • The statute of the company.
  • Deed of ownership of the commercial premises or notarized rental contract (in the name of the company).
  • A form provided by the tax inspectorate, completed, signed and stamped (Download the form)

  • Entity in charge: CASNOS (Agency, Branch, Counter), List of CASNOS branches
  • Service concerned: Affiliation and registration service

What should you do after registering online?

  • To validate your certificate, you must go to the management department on which you depend (your inspection or your CDI or DGE) with these two documents (acknowledgment of receipt and tax registration certificate).
  • If all your information is correct, the person in charge of the managing department will affix his stamp and his signature on your certificate; the DGI will publish your NIF on the authentication site https://nif.mfdgi.gov.dz/nif.php
